("Liora", "we", "us", or "our"). By accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, do not use the Service. 1. Description of the Service Liora provides real-time AI-powered translation during Microsoft Teams meetings. The Service uses artificial intelligence and machine learning technologies to automatically transcribe and translate spoken content into the user's selected language. The translations are generated automatically and are not reviewed or verified by human translators. 2. Eligibility and Account To use the Service, you must have a valid Microsoft Teams subscription and an active Liora subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old or have the legal authority to enter into these Terms on behalf of your organization. 3. Subscription and Payment Access to the Service requires a paid subscription. Subscription plans, pricing, and billing cycles are described on our website or through the Microsoft commercial marketplace. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to modify pricing with at least 30 days' prior notice. 4. Nature of AI Translation — Disclaimer of Accuracy THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE TRANSLATIONS. AI-GENERATED TRANSLATIONS ARE AUTOMATED APPROXIMATIONS OF SPOKEN CONTENT AND DO NOT CONSTITUTE PROFESSIONAL, CERTIFIED, OR OFFICIAL TRANSLATIONS. Liora does not warrant, represent, or guarantee that the translations provided by the Service will be complete, accurate, reliable, or error-free. Translations may contain inaccuracies resulting from, among other factors: audio quality, accents, dialects, technical terminology, colloquial expressions, background noise, network latency, or inherent limitations of AI technology. 5. Appropriate Use The Service is designed as a communication assistance tool. You acknowledge and agree that the Service should not be relied upon as the sole source of information in contexts where translation accuracy is critical, including but not limited to: — Legal proceedings, depositions, or court hearings — Medical diagnoses, consultations, or treatment decisions — Binding contractual negotiations or financial transactions — Regulatory compliance or government filings — Any situation where a translation error could cause personal, financial, or other harm For such purposes, you should engage professional human translators or certified interpreters. 6. Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIORA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LIORA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. 7. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIORA (GEEK DEVOPS S.L.) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR ANY OTHER DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SERVICE, OR FROM ERRORS, OMISSIONS, OR INACCURACIES IN THE TRANSLATIONS PROVIDED. IN ANY EVENT, LIORA'S TOTAL AGGREGATE LIABILITY TO YOU SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 8. Indemnification You agree to indemnify, defend, and hold harmless Liora (Geek Devops S.L.), its officers, directors, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) any decisions, actions, or omissions based on the translations provided; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation. 9. Privacy and Data Processing Audio processed by the Service is used solely to generate the real-time translation and is not stored after the session ends. Liora does not store, share, or use meeting audio or translations to train AI models or for any purpose other than delivering the Service. Service Availability and Modifications Liora does not guarantee uninterrupted or error-free availability of the Service. The Service may be affected by scheduled maintenance, updates, technical issues, third-party service outages, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. 11. Intellectual Property The Service, including its software, design, features, and documentation, is owned by Geek Devops S.L. and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service. 12. Termination We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections 4 through 8 and any other provisions that by their nature should survive termination shall survive. 13. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the courts of Spain. 14.
